What is Form EFFECT?
An SEC Effectiveness notice is a notification from the SEC that a company's registration statement, filed on Form S-1, S-3, F-1 or other forms, has been reviewed and is now effective. This means that the company is allowed to offer and sell those specific securities to the public. The effectiveness notice is typically issued after the SEC has completed a thorough review of the registration statement, including the company's financial statements and disclosures about its business operations and risks.
When a SEC registration statement becomes effective, it allows the company to proceed with the offering of securities to the public. The effective date is also the date on which the securities can be sold to the public. The company is not required to start selling securities to the public when they receive an effectiveness notice. The effectiveness notice simply means that the SEC has reviewed the company's registration statement and has declared it "effective," which allows the company to offer and sell the securities described in the registration statement. The company may choose to start selling the securities immediately, or they may wait until market conditions are more favorable or until they have completed additional preparations.
